Oct 30 (Reuters) - HK Energy Partners LP filed with U.S. regulators on Tuesday for an initial public offering of about 9.3 million common units representing limited partner interests.
Assuming an offering price of $20 per unit and after deducting underwriting discounts, a structuring fee and estimated offering expenses, the company expects net proceeds of about $170 million from the sale.
HK Energy, formed recently by Petrohawk Energy Corp (HK), plans to list its shares on the New York Stock Exchange under the ticker symbol "HKE." (Reporting by John Tilak in Bangalore)

Petrohawk Energy Corp., an independent oil and gas explorer, said Thursday its third-quarter profit fell by nearly half on tough comparisons with a prior-year quarter boosted by one-time gains.
After the payment of preferred dividends, Petrohawk earned $26.8 million, or 16 cents per share, compared with $52.7 million, or 33 cents per share, for the same quarter in 2006.
The results included one-time items such as $68.7 million in unrealized gains on derivatives in the 2006 period, which compared with a $3 million loss in the recent quarter.
The results also included stock-option expenses and a 2006 quarter loss on the extinguishment of debt.
Excluding those items, Petrohawk posted an adjusted profit of $31 million, or 18 cents per share, compared with $16 million, or 10 cents per share, for the same quarter in 2006.
Revenue rose 8.6 percent to $213.3 million from $196.4 million in the year-ago period.
Analysts polled by Thomson Financial expected a profit of 13 cents per share, excluding one-time items, on $225.6 million in revenue.
Natural gas production rose 17 percent to 25.6 million cubic feet, while oil production fell 6.9 percent to 742 million barrels.
Petrohawk shares were unchanged at $18.08 in morning trading.
